Marketing Affiliate Program Agreement

1. Definitions

  • “Affiliate Lead” means a customer prospect who has no pre-existing business relationship with ArchetypeID and clicks on the Affiliate Link we make available via the Affiliate Tool.

  • “Affiliate Link” means the unique tracking link you place on your site or promote through other channels.

  • “Affiliate Tool” means PromoteKit or a similar tool we make available upon your acceptance into the Affiliate Program.

  • “Commission” means an amount equal to twenty percent (20%) of the subscription price of the Commissionable Plan actually paid by a Customer.

  • “Commissionable Plan” means strictly ArchetypeID’s standard, self-serve “Pro” or “Teams” subscription plans. Explicitly excluded are Enterprise plans, custom MSAs, Pilot or POC agreements, and API usage/compute fees.

  • “Customer” means the authorized actual user who has purchased or signed up for a Commissionable Plan after being a valid Affiliate Lead.

  • “Customer Transactions” means those transactions by Affiliate Leads that are eligible for Commission pursuant to this Agreement.

2. Non-Exclusivity and Affiliate Acceptance

This is a non-exclusive arrangement. Applicants undergo review; acceptance is determined at company discretion. Accepted affiliates must comply with all program terms and policies.

3. Commissions and Payments

3.1 Affiliate Program Limits (12-Month Cap). We will pay you a Commission of 20% for each new Customer during the first twelve (12) months of the Customer’s subscription term, so long as the Customer remains a Customer on a Commissionable Plan. No commissions apply after the initial 12-month period.


3.2 Plan Upgrades and Exclusions. If the Customer cancels their subscription, you will stop receiving Commissions. If the Customer upgrades from a Commissionable Plan to a non-commissionable Enterprise or Custom MSA tier, you will immediately stop receiving Commissions.


3.3 Payment Schedule. Your Commission will be paid on the same schedule the Customer pays. You must earn at least $25 USD in Commissions before you are eligible to receive a payout.


3.4 Refunds and Chargebacks. If a Customer from which you’ve received a Commission later receives a refund or chargeback, the Commission will be recouped from any future Commissions you receive.


3.5 Eligibility and Forfeiture. You must have a valid payment method (e.g., PayPal, Wise) and completed tax documentation on file to receive payment. We have no obligation to pay Commissions if the Customer Transaction was obtained by fraudulent means, cookie stuffing, or in violation of any Affiliate Program Policies.

4. Affiliate Representations and Covenants

  • You will comply with all applicable trade or regulatory requirements (e.g., clearly stating you are an ArchetypeID Affiliate on any website where you place an Affiliate Link).

  • You will not purchase ads that compete with ArchetypeID’s own advertising, including bidding on branded keywords (e.g., “ArchetypeID,” “Sparky AI”).

  • You will not participate in cookie stuffing, pop-ups, or false/misleading links.

  • You will not use your own Affiliate Link to purchase ArchetypeID products for yourself.

  • You will not make any claims that use of ArchetypeID will guarantee that the user will make money.

5. FTC Compliance and Disclosures

Affiliates must comply with the CAN-SPAM Act, GDPR, CCPA, and FTC Endorsement Guidelines. Affiliates must plainly display: “Disclosure: I am an independent Affiliate for ArchetypeID, not an employee. I receive referral payments from ArchetypeID. The opinions expressed here are my own and are not official statements of Sparky AI, Inc. or ArchetypeID.”

6. Proprietary Rights

ArchetypeID retains all ownership rights in its products, services, platforms, and trademarks. Affiliates receive a nonexclusive, nontransferable, revocable, royalty-free right to use and display logos and trademarks strictly for program purposes, provided they comply with Brand Guidelines. Trademarks may not be used misleadingly or disparagingly.

7. Confidentiality

Affiliates must protect confidential information (including prospect and customer data) with no less than reasonable care and must not disclose it to third parties.

8. Indemnification and Limitation of Liability

8.1 Indemnification. You will indemnify, defend, and hold us harmless against any third-party claim, suit, action, or proceeding arising out of your participation in the Affiliate Program, your noncompliance with or breach of this Agreement, or your deceptive marketing practices.


8.2 Limitation of Liability. To the maximum extent permitted by law, in no event shall ArchetypeID be liable for any indirect, punitive, or consequential damages, including lost profits. Our aggregate liability will be limited to the total Commission amounts you have actually earned for the related Customer Transactions in the twelve-month period preceding the event.

9. Term and Termination

9.1 Term. This Agreement applies for the duration of your affiliate program participation.


9.2 Termination. Either party may terminate this Agreement without cause on seven (7) days’ written notice. We may terminate this Agreement for cause immediately upon notice if you breach this Agreement, engage in deceptive marketing, or act in a way that negatively reflects on our brand.


9.3 Effect of Termination. Upon termination, you will discontinue all use of and delete the Affiliate Tool, and immediately remove all ArchetypeID trademarks and links from your websites and collateral. We will pay you any legitimately earned Commissions recognized within thirty (30) days after termination, except in cases of termination for your breach or fraud, in which case unpaid Commissions are forfeited.

10. Miscellaneous

10.1 Governing Law and Venue. This Agreement shall be governed by the laws of the State of Georgia, without regard to its conflict of laws provisions. Exclusive venue is the state and federal courts in Atlanta, Georgia.


10.2 Independent Contractors. No joint venture, partnership, employment, or agency relationship exists between you and us as a result of this Agreement.


10.3 Entire Agreement; Modifications. This document constitutes the entire agreement. Updates may be made at company discretion; continued participation signals acceptance of modified terms.
